By accessing or using our Services, including sending a text message to our phone number, submitting information through our website, or otherwise engaging with our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

TermInsurance provides an automated, AI-powered life insurance quoting and application service. Our Services include:

• Automated Quote Collection: An AI chatbot collects information necessary for life insurance underwriting via SMS text messages
• Quote Comparison: We submit your information to our insurance carrier partners to obtain actual quotes
• Application Processing: We facilitate the application process, including identity verification and electronic signatures
• Policy Binding: We assist in completing the purchase of life insurance policies from our carrier partners

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have a valid mobile phone number capable of sending and receiving SMS messages
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law

By using our Services, you represent and warrant that you meet all eligibility requirements.

4. User Responsibilities

When using our Services, you agree to:

• Provide truthful, accurate, and complete information in all communications and forms
• Update your information promptly if it changes

Important: Providing false or misleading information on an insurance application may constitute fraud and could result in denial of claims, policy cancellation, or legal action.

• Notify us immediately if you suspect unauthorized access

4.3 Use Services Appropriately

• Use the Services only for obtaining life insurance quotes and applications for yourself
• Not use the Services for any unlawful purpose
• Not attempt to disrupt, compromise, or abuse the Services
• Not submit automated queries, spam, or bulk requests

5. SMS Communications

5.1 Consent to Receive Messages

By initiating contact with us via SMS (e.g., texting "QUOTE" to our number) or providing your phone number through our website, you expressly consent to receive automated SMS messages from us related to:

• Life insurance quote requests and processing
• Application status updates
• Requests for additional information
• Secure links to web forms
• Confirmation messages

5.2 Message Frequency and Costs

Message frequency varies based on your interactions. Standard message and data rates may apply. You are responsible for any charges from your mobile carrier.

5.3 Opting Out

You may opt out of SMS communications at any time by replying STOP to any message. After opting out, you will receive one confirmation message. Note that opting out may prevent us from completing your quote or application.

6. Insurance Disclaimer

6.1 No Guarantee of Coverage

We cannot guarantee that you will qualify for life insurance coverage. Insurance carriers make independent underwriting decisions based on their own criteria. We have no control over these decisions.

6.2 Quotes Are Estimates

Preliminary quotes provided during the SMS conversation are estimates based on the information you provide. Actual quotes from insurance carriers may differ based on additional underwriting factors, medical examinations (if required), or verification of information.

6.3 Carrier Relationships

We work with multiple insurance carriers. The carriers we present may vary based on your profile, location, and coverage needs. We are compensated by insurance carriers through commissions on policies sold. This compensation does not affect the quotes you receive.

6.4 Policy Terms

If you purchase a policy through our Services, your coverage is subject to the terms and conditions of the policy issued by the insurance carrier. Please review all policy documents carefully before purchasing.

7. Privacy

Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy, including the sharing of your information with insurance carriers for the purpose of obtaining quotes.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, software, and the overall design, are the exclusive property of RS Fund Management or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED $100

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless RS Fund Management, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any false or misleading information you provide

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time by opting out of SMS communications.

Upon termination, these Terms shall survive to the extent necessary to enforce any rights or obligations that arose during your use of the Services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in New York County, New York.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal legal action, you agree to contact us first and attempt to resolve the dispute informally by sending a written notice describing the dispute to our contact address below. We will attempt to resolve the dispute within 30 days.

13.2 Arbitration Agreement

If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration shall take place in New York, New York, or at another mutually agreed location.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13.4 Opt-Out

You may opt out of the arbitration agreement by sending written notice to our contact address within 30 days of first using the Services. Your notice must include your name, phone number, and a clear statement that you wish to opt out of arbitration.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, provide additional notice (such as via SMS or email).

Your continued use of the Services after any changes indicates your acceptance of the new Terms. If you do not agree to the changes, you must stop using the Services.
